Compare buying with the alternatives
Use Capital Allocation & Deal Affordability Tool to compare acquisition, building, partnering, and doing nothing. State the capability delivered, timing, control, capital required, and operating burden for each route.
Distinguish value from the ability to pay
Reconcile consideration, fees, financing, required investment, and minimum liquidity. A valuation range does not establish that the buyer can fund a deal. A return metric does not show when the cash is needed.
Carry weaker revenue, margin pressure, delayed benefits, and additional investment through the combined downside. Identify the binding constraint and the action available if it is reached. Use those constraints and the return requirement to set the private price ceiling.
Preserve the decision rule
